3.1 Eligibility

4. Client Responsibilities

4.1 Accurate Information

You agree to provide accurate and complete information during the setup process and to keep your account information up to date. If any of your information changes, you must provide us with the update within 28 days. Providing us with false information or failing to notify us about any changes within the time limit, your access to the software will be suspended or terminated.

4.2 Compliance

You are responsible for ensuring that your use of the software complies with all applicable laws and regulations.

4.3 Content

You are responsible for all content you upload, post, or otherwise transmit using the software. You must ensure that such content does not violate any third-party rights or applicable laws.

5. Payment and Fees

5.1 Fees

You agree to pay the fees specified in your service package. All fees are non-refundable unless otherwise stated.

5.2 Subscriptions

Our services are provided on a subscription basis. Subscription fees are billed monthly or annually in advance, as per your selected plan. If you wish to cancel your subscription, you must provide us with 30-day notice in writing. The cancellation will take effect at the end of the current billing cycle following the 30-day notice period.

If you fail to make any payment on time, we may suspend or terminate your access to the software until payment is made.

5.4 Additional fees may apply

We are not responsible for any additional fees that may apply besides what is granted in our offer. This may include a domain, company email, etc. that are related to our services.

6. Termination

You may terminate this agreement at any time by providing written notice to us and discontinuing use of the software.

6.2 Termination by Us

We may terminate this agreement and suspend your access to the software if you violate any terms of this agreement or for any other reason at our sole discretion.

6.3 Effect of Termination

Upon termination, your right to use the software will immediately cease. Any outstanding payments will become due immediately.

7. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the software.

8. Indemnification

You agree to indemnify, defend, and hold harmless Maxime AI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the software or your violation of this Agreement.

9. Disclaimer of Warranties

The software is provided "as is" without any warranties of any kind, either express or implied. We do not warrant that the software will be uninterrupted or error-free.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Logan City Council, without regard to its conflict of laws principles.

11. Amendments

We may modify these Terms and Conditions at any time. We will notify you of any changes by posting the updated terms on our website or through other communication methods. Your continued use of the software after such changes constitutes your acceptance of the new terms.
